These Terms explain what Cloudcycle provides, what we don’t, and where responsibilities sit. We’re an owner‑operated, two‑person team based in the UK. Please read this alongside our Pricing and How‑it‑works pages.

Plain‑English summary

1) What we sell

  • We provide setup and configuration services for your home server. We don’t sell or warrant the hardware.
  • Concierge BYO: if we source a refurbished Mac mini for you, we do it as your purchasing agent. Any hardware warranty is with the seller/manufacturer.

2) Hardware responsibility

  • You supply the device or approve one we buy on your behalf. We’ll run basic health checks. If faults turn up (e.g., failing SSD, bad RAM), we pause and tell you. Repairs/parts are at cost if you approve them.

3) Our service warranty

  • We deliver with reasonable care and skill. If something we configured doesn’t work as described within 30 days, we’ll re‑perform the work or guide a fix. That’s the remedy.

4) Data and backups

  • Please back up before we start. You own your data. We’re not responsible for data loss or corruption. We’ll give simple, local‑backup guidance.

5) Local‑only by default

  • We configure your system for local‑network access only (no public internet exposure). If you later open it to the internet, you accept those risks; that scenario isn’t covered by included support.

6) Liability cap

  • To the extent allowed by law, our total liability is capped at the fees you paid for the relevant service. We’re not liable for indirect or consequential losses (like lost profits or data). Your UK consumer rights aren’t affected.

7) Cancellations/returns

  • Services are non‑returnable once we start. If you’re a UK consumer and ask us to begin within any cooling‑off period, you agree we may charge for work done and you may lose cancellation rights once the service is fully delivered. Hardware returns (if any) are with the original seller.

Definitions

  • “Cloudcycle”, “we”, “us” means Cloudcycle (owner‑operated, two‑person team) of [add legal entity/address].
  • “Customer”, “you” means the person or entity purchasing Services.
  • “Hardware” means any device supplied by you or procured by us as your agent.
  • “Services” means configuration, installation, migration, and related consulting.
  1. Scope; Procurement as Agent 1.1 Services Only. Cloudcycle provides Services in relation to Hardware. Cloudcycle does not sell Hardware and provides no Hardware warranty. 1.2 Concierge BYO. If Customer requests Cloudcycle to procure Hardware, Customer appoints Cloudcycle as purchasing agent. Title and risk in the Hardware pass directly from the third‑party seller to Customer. Any manufacturer or seller warranty is between Customer and such third party. Cloudcycle makes no representations regarding the Hardware and disclaims responsibility for defects, delays, or non‑delivery attributable to third parties.

  2. Hardware Condition; Testing; Parts 2.1 Customer‑Supplied Hardware. Customer is responsible for providing functional Hardware. Cloudcycle may perform basic diagnostics (e.g., SMART checks, memory tests). If defects are found, Cloudcycle will notify Customer and may suspend Services until replacement or repair. Additional parts/labour are billable at cost as agreed. 2.2 No Hardware Warranty. CLOUDCYCLE PROVIDES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING HARDWARE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT; SUCH WARRANTIES (IF ANY) ARE PROVIDED BY THE HARDWARE SELLER/MANUFACTURER.

  3. Services Warranty and Remedy 3.1 Services Warranty. Cloudcycle warrants that it will provide the Services with reasonable care and skill in accordance with the agreed description. 3.2 Exclusive Remedy. For any breach of the foregoing warranty notified within thirty (30) days of delivery, Customer’s exclusive remedy is for Cloudcycle to re‑perform the affected Services or provide reasonable workarounds. If re‑performance is not commercially reasonable, Cloudcycle may refund the applicable Services fees paid for the non‑conforming portion. This clause is in lieu of all other warranties.

  4. Configuration Model; Networking 4.1 Local‑Only by Default. Services configure the system for local‑area network access only. Public internet exposure is not enabled or supported under these Terms. 4.2 Customer Changes. If Customer later enables remote access or installs additional software, Customer assumes all related risks and responsibilities.

  5. Data; Backups; Privacy 5.1 Data Ownership. Customer retains all rights in Customer Data. 5.2 Backups. Customer is solely responsible for backups. CLOUDCYCLE IS NOT LIABLE FOR DATA LOSS OR CORRUPTION. Cloudcycle may provide non‑binding backup guidance. 5.3 Privacy. Cloudcycle does not access Customer Data except as reasonably necessary to deliver the Services and with Customer’s permission. Cloudcycle is not a data processor unless the parties enter into a separate data processing agreement.

  6. Customer Responsibilities and Indemnity 6.1 Responsibilities. Customer shall (a) provide accurate information; (b) maintain a suitable environment (power/network); (c) comply with laws; and (d) use the system in accordance with the provided guidance. 6.2 Indemnity. Customer shall indemnify, defend, and hold harmless Cloudcycle against claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (i) Customer’s content or use of the system in violation of law; (ii) Customer’s enabling of public internet exposure; (iii) Customer‑supplied software or configurations; or (iv) alleged infringement caused by materials provided by Customer.

  7. Limitations of Liability 7.1 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDCYCLE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER FOR THE SERVICES GIVING RISE TO THE CLAIM. 7.2 Exclusions. IN NO EVENT SHALL CLOUDCYCLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. NOTHING IN THESE TERMS SEEKS TO EXCLUDE LIABILITY THAT CANNOT BE EXCLUDED BY LAW. IF CUSTOMER IS A CONSUMER, THESE TERMS DO NOT AFFECT ANY NON‑EXCLUDABLE STATUTORY RIGHTS UNDER UK LAW.

  8. Cancellations; Returns; Force Majeure 8.1 Services. Services are non‑refundable once commenced. If mandatory UK consumer laws provide a cooling‑off period, Customer expressly requests early performance and acknowledges that (a) Cloudcycle may charge proportional fees for work performed, and (b) the right to cancel may be lost when the Services are fully performed. 8.2 Hardware Returns. Any Hardware returns/RMAs are between Customer and the third‑party seller/manufacturer. 8.3 Force Majeure. Neither party is liable for delays or failure due to causes beyond its reasonable control.

  9. Miscellaneous 9.1 Open‑Source. Components are licensed under their respective open‑source licenses. 9.2 Governing Law; Venue. These Terms are governed by the laws of England and Wales, and the courts of London, England, have exclusive jurisdiction. 9.3 Entire Agreement; Severability. These Terms, together with any order confirmation, are the entire agreement; if any part is unenforceable, the rest remains in effect.


Intake acknowledgements (operational)

Ask customers to confirm by email before work starts and again at hand‑off:

  • I have backed up my data and understand Cloudcycle is not responsible for data loss.
  • I understand Cloudcycle does not sell or warrant the hardware; any hardware warranty is from the seller/manufacturer.
  • I authorise Cloudcycle to begin Services immediately and agree that charges apply once work starts. I understand UK cooling‑off rules and that I may be charged for work performed and may lose cancellation rights once the service is fully delivered.
  • I understand the system will be configured for local‑only access by default and that enabling internet exposure later is at my risk and outside included support.
